SHELDON E. GOLDSTEIN, Esq.

Sheldon E. Goldstein is the senior partner of the firm concentrating in the areas of securities and general business law, broker-dealer regulation, trust and estates and litigation, including securities arbitrations and disciplinary/enforcement actions at both the NYSE and the NASD. He has been an Arbitrator for the American Arbitration Association.

Mr. Goldstein worked on the floor of the New York Stock Exchange from 1957 to 1965. From 1965 to 1967, he engaged in the private practice of law before returning to the NYSE as a Member from 1967 to 1977, during which time he was a Vice President/ Director of the Harris Group, Inc. and A.G. Becker & Co., Inc. In 1977, he started Sheldon E. Goldstein, P.C., predecessor to the present firm.

Mr. Goldstein received his law degree from New York Law School, and is admitted to practice before the Supreme Court of New York and the United States District Courts for the Southern and Eastern Districts of New York, and the Second Circuit Court of Appeals. He is a member of the New York State Bar Association.

SCOTT H. GOLDSTEIN, Esq.

Scott H. Goldstein is the managing partner of the firm concentrating in the areas of securities and general business law, broker-dealer regulation, real estate transactions, entertainment law, trusts and estates, as well as litigation, including arbitrations and disciplinary/ enforcement actions at both the NYSE and the NASD and assisting, structuring, negotiating and drafting documents used in connection with secondary financing transactions of public companies; representing start up companies in all phases of corporate and finance development; and representing public companies with the preparation and filing of reports with the Securities and Exchange Commission.

Prior to receiving his law degree from The University of Dayton School of Law, Mr. Goldstein worked on the floor of the NYSE and established Registration Services, Inc., which offered to its clients and their counsel, registration and compliance services for broker-dealers and investment advisors.

Mr. Goldstein has a B.B.A. in Management from Hofstra University Business School, and is admitted to practice before the Supreme Courts of New York and Pennsylvania, and the United States District Courts for the Southern and Eastern Districts of New York. He is a member of the American Bar Association.

DANIEL C. CALLAWAY, Esq.

Daniel C. Callaway concentrates in the areas of real estate, contract and corporate law, litigation/arbitration, as well as assisting, structuring, negotiating and drafting documents used in connection with secondary financing transactions of public companies. Mr. Callaway, who is fluent in Italian, lived many years in Europe, and represents clients in international business dealings.

While in Europe, he performed foreign exchange and cash management functions for twenty E. I. Du Pont de Nemours & Co., and Conoco subsidiaries; he also reviewed and negotiated contracts relating to the development of Conoco's North Sea oil and gas properties.

Mr. Callaway has a B.S. in Finance from Boston College and a law degree from the New England School of Law and is admitted to practice before the Supreme Courts of New York and Massachusetts and the United States District Court for the Southern District of New York.
